Terms and Conditions
1. Introduction
These Terms and Conditions (“Terms”) govern the relationship between Qodex Web Design and SEO Agency (“Qodex”, “we”, “us”, “our”) and its clients (“Client”, “you”, “your”) with respect to the provision of web design, search engine optimisation (SEO), and related services.

By engaging our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.
2. Services
2.1 Qodex provides web design, SEO, and related digital marketing services as agreed upon in writing between Qodex and the Client.
2.2 The specific details of the services to be provided will be outlined in a separate proposal or agreement, which forms part of these Terms.
2.3 Qodex reserves the right to subcontract any services we provide to ensure the best possible outcome for our clients. We will remain responsible for the work of any subcontractors.
3. Client Responsibilities
3.1 The Client agrees to provide Qodex with all necessary materials, information, and access required to complete the agreed-upon services in a timely manner.
3.2 The Client is responsible for obtaining any necessary permissions, licenses, or consents for the use of any content, trademarks, or other materials provided to Qodex for inclusion in the project.
3.3 The Client agrees to review and provide feedback on work submitted by Qodex within a reasonable timeframe to avoid delays in project completion.
4. Intellectual Property Rights
4.1 Upon full payment of all outstanding invoices, the Client will own the final deliverables provided by Qodex, except for any third-party materials or Qodex’s proprietary tools and methodologies.
4.2 Qodex retains the right to use the completed project in its portfolio and for marketing purposes, unless explicitly agreed otherwise in writing.
4.3 The Client warrants that any materials provided to Qodex for use in the project do not infringe upon any third-party intellectual property rights.
5. Confidentiality
5.1 Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the project.
5.2 This confidentiality obligation survives the termination of the agreement between Qodex and the Client.
6. Payment Terms
6.1 Fees for services will be as agreed upon in the proposal or separate agreement between Qodex and the Client.
6.2 Qodex accepts payments via invoice, BACS, and card payments through our online terminal.
6.3 Unless otherwise agreed, invoices are due within 14 days of the invoice date.
6.4 For ongoing services, Qodex may require a deposit or set up a monthly payment schedule, as detailed in the service agreement.
6.5 Late payments may incur interest at a rate of 8% per annum above the Bank of England base rate, calculated daily.
7. Contract Duration
7.1 For SEO and Web Design management services, Qodex offers contracts of 6-12 months, depending on the project requirements.
7.2 The specific duration will be outlined in the service agreement.
7.3 Contracts automatically renew for the same period unless either party provides written notice of termination at least 30 days before the end of the current term.
8. Termination
8.1 Either party may terminate the agreement if the other party breaches any material term of these Terms and fails to cure such breach within 30 days of written notification.
8.2 Upon termination, the Client agrees to pay for all services rendered up to the date of termination.
8.3 In the event of early termination of a fixed-term contract by the Client, a cancellation fee may apply as outlined in the service agreement.
9. Limitation of Liability
9.1 Qodex’s total liability under these Terms shall be limited to the total amount paid by the Client for the services provided.
9.2 Qodex is not liable for any indirect, consequential, or incidental damages arising from the use of our services.
9.3 While we strive to achieve the best possible results, Qodex does not guarantee specific rankings or outcomes for SEO services, as search engine algorithms are beyond our control.
10. Indemnification
The Client agrees to indemnify and hold harmless Qodex, its employees, and subcontractors from any claims, damages, or expenses (including reasonable legal fees) arising from the Client’s breach of these Terms or any third-party claims related to the Client’s use of the services provided.
11. Force Majeure
Neither party shall be liable for any failure or delay in performing their obligations where such failure or delay results from any cause that is beyond the reasonable control of that party.
12. Modifications to Services and Terms
12.1 Qodex reserves the right to modify or discontinue any of its services with reasonable notice to the Client.
12.2 These Terms may be updated from time to time. The most current version will always be available on our website.
13. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
14. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.
15. Entire Agreement
These Terms, together with any associated proposal or service agreement, constitute the entire agreement between Qodex and the Client, superseding any prior agreements or understandings, whether written or oral.
